3. Service Agreement Process

3.2 Project Execution

  • Regular progress updates and milestone reviews
  • Client feedback incorporation and revisions

4. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete project requirements
  • Supply necessary content, assets, and access credentials
  • Respond to communications and feedback requests promptly
  • Make payments according to agreed terms
  • Respect intellectual property rights
  • Provide constructive feedback during development phases

5. Payment Terms

5.1 Payment Structure

  • Project costs are determined based on scope, complexity, and timeline
  • Payment schedules are agreed upon before project commencement
  • Typical payment structure: 50% upfront, 50% upon completion
  • For larger projects: milestone-based payments may be arranged

5.2 Payment Methods

  • Bank transfers (preferred for Russian clients)
  • International wire transfers
  • Cryptocurrency payments (USDT, BTC) where applicable
  • Other methods as mutually agreed

5.3 Late Payments

Late payments may result in project suspension and additional fees. Interest may be charged on overdue amounts as permitted by law.

6. Intellectual Property

6.1 Client-Owned Content

You retain ownership of all content, data, and materials you provide. You grant us a license to use these materials solely for project completion.

6.2 Developed Solutions

Upon full payment, you receive ownership of custom-developed solutions. We retain the right to use general methodologies, techniques, and non-proprietary code for future projects.

6.3 Third-Party Components

Projects may include third-party libraries, frameworks, and tools subject to their respective licenses.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that services will be performed with professional skill and care. We provide a 30-day warranty period for bug fixes on delivered projects.

7.2 Disclaimers

Services are provided "as is" without warranties beyond those explicitly stated. We do not guarantee specific business outcomes or performance metrics.

8. Limitation of Liability

Our liability is limited to the total amount paid for services. We are not liable for indirect, consequential, or punitive damages, including lost profits or business interruption.

9. Confidentiality

We maintain strict confidentiality regarding your business information, project details, and proprietary data. This obligation continues beyond project completion.

10. Project Changes and Scope

Changes to project scope require written agreement and may affect timeline and costs. We will provide estimates for additional work before proceeding.

11. Termination

11.1 Termination by Client

You may terminate services with written notice. Payment is due for work completed up to termination date.

11.2 Termination by Service Provider

We may terminate services for non-payment, breach of terms, or other material violations with appropriate notice.

12. Dispute Resolution

Disputes will be resolved through good faith negotiation. If necessary, disputes will be subject to the jurisdiction of Russian courts, with Russian law governing these terms.

13. Force Majeure

We are not liable for delays or failures due to circumstances beyond our control, including natural disasters, government actions, or technical infrastructure failures.

14. Modifications to Terms

We reserve the right to modify these terms with notice. Continued use of services after changes constitutes acceptance of new terms.
